Contest 2022 Survey Terms and Conditions

ACUITY KNOWLEDGE PARTNERS – GIVEAWAY CONTEST: TERMS AND CONDITIONS

As part of the Private Equity and Venture Capital Survey 2022, Acuity Knowledge Partners (Acuity) is sponsoring an iPad giveaway contest that will be governed by the underlying terms and conditions. By participating in this contest, each entrant stands a chance to win the prize, as detailed below. Participation confirms acceptance of these terms, including all eligibility requirements.

1. NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO PARTICIPATE OR WIN.

2. Eligibility criteria: The contest is open to legal residents of the United States, Canada and the United Kingdom who are eighteen (18) years of age or older at the time of entry and who have internet access and a valid email address prior to the start of the contest. Acuity has the right to verify the eligibility of each entrant.

3. Restrictions on participation: The following will be ineligible to participate in the survey:

  • a. Acuity employees (both permanent and contractual).

  • b. Partners and vendors of Acuity (active and non-active).

  • c. Individuals who are not from a private markets background. Acuity has the right to decide who qualifies under this criterion.

  • d. Individuals who are employed with companies that can be considered to be direct or indirect competitors of Acuity across markets, geographies and service types.

4. Contest period: The contest starts at midnight (12:00 AM EST) on 1 December 2022 and ends at midnight (12:01 AM EST) on 31 December 2022. All entries must be received before midnight (12:01 AM EST) on 31 December 2022. Acuity reserves the right to extend or reduce the time for the contest at its sole discretion. Any entries received from 1 November 2022 to 30 November 2022 will also, by default, be eligible for participation. To clarify, any entries received before 1 November 2022 or after 31 December 2022 will be invalid and will not be entered into the competition.

5. How to participate: Participants can enter the contest through the survey landing page. Participants must fill out all required fields on the survey and tick “Agree” to participate in the contest. A participant may fill the survey only once; subsequent submissions will be rejected. Acuity takes no responsibility for any entry that is lost, delayed, illegible, corrupted, damaged, incomplete or otherwise invalid. Participants grant Acuity an exclusive, worldwide, royalty-free, perpetual and irrevocable licence to copy, store, edit, distribute, transmit and publish the contest entries.

6. Winner selection criteria: All eligible entries received during the contest period will be gathered into a database at the end of the contest. On or around 8 January 2023, Acuity will randomly select one (1) participant to receive the prize. The result of the contest will be determined solely by Acuity, Acuity’s decision will be final and no correspondence will be entered into thereafter.

7. Winner announcement:

a. The winner will be announced on or around 10 January 2023.

b. Acuity will attempt to notify the potential winner within five (5) days of the result. The announcement and instructions for prize retrieval will be sent to the email address mentioned on the prize winner’s survey entry form.

c. If the winner cannot be contacted within five (5) days of the first attempt to contact them, Acuity may select an alternate winner in their place from the remaining entries. This process will continue until a winner accepts the prize.

d. Each entrant is responsible for monitoring their emails for prize notification. If a potential winner fails to comply with these terms and conditions, that individual will be disqualified.

e. Prizes may not be awarded if an insufficient number of eligible entries are received.

f. Acuity further reserves the right to terminate, suspend or amend the contest, with or without notice, if Acuity determines that the contest cannot be conducted as planned for any reason such as a virus or bug, tampering or unauthorised intervention, fraud, technical failure or other cause beyond Acuity’s control that corrupts or affects the administration, security, fairness, integrity or proper conduct of the contest.

g. Any attempt to damage the content or operation of this contest is unlawful and subject to possible legal action by Acuity. In the event any tampering or unauthorised intervention may have occurred, Acuity reserves the right to void suspect entries at issue.

h. A potential winner may be requested to provide Acuity with proof that the potential winner is the authorised account holder of the email address. If a dispute cannot be resolved to Acuity’s satisfaction, the entry will be deemed ineligible.

8. Prize: One (1) Apple iPad Air (white/silver, 16 GB, Wi-Fi only) subject to the following terms and conditions:

a. Incidental expenses and all other costs and expenses that are not specifically listed as part of a prize in these terms and conditions and which may be associated with the award, acceptance, receipt and use of all or any portion of the awarded prize are solely the responsibility of the prize winner.

b. ALL FEDERAL, STATE AND LOCAL TAXES ASSOCIATED WITH THE RECEIPT OR USE OF ANY PRIZE IS SOLELY THE RESPONSIBILITY OF THE WINNER.

c. No cash alternative to the prize is available.

d. The prize is non-transferable.

e. The prize is neither redeemable nor exchangeable for cash.

f. Acuity reserves the right to substitute the prize with others of similar value without prior notice.

9. Limitation of liability:

a. Acuity, its parent, affiliate and subsidiary companies, agents and representatives are not responsible for (i) any typographical or other errors in the offer or administration of the contest, including, but not limited to, errors in any printing or posting of these terms and conditions, the selection and announcement of any winner, or the distribution of any prize; or (2) incorrect or inaccurate transcription of entry information, or for any human error, technical malfunction, communication line failure, alteration of entries, misdirected or lost mail, the inability to access the website or the contest, or any other error, human or otherwise.

b. Acuity’s liability under or in connection with the contest or these terms and conditions shall be limited to the cost of the prize in question.

c. Acuity shall not be liable under or in connection with these terms and conditions, the contest or the prize for any special, indirect, incidental, consequential or punitive damages, cost, expense or loss suffered by a participant even if such cost, expense, loss or damage was reasonably foreseeable or might reasonably have been contemplated by the participant and Acuity and whether arising from breach of these terms, tort, negligence, breach of statutory duty or otherwise.

10. Privacy: All participants acknowledge that their personally identifying information may be disclosed to Acuity affiliates and third parties, to the extent required for the contest. All personal information submitted as part of the contest will be used and processed in accordance with Acuity’s privacy policy.

11. Governing law: The contest is subject to the laws of New York, and all disputes shall be subject to the exclusive jurisdiction of the courts of New York.
